Welcome to Integrated Lead Company (“we,” “us,” or “our”). By accessing or using our services to purchase digital leads, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our services.

1. Definitions

• Company: Integrated Lead Company, the lead generation company offering digital leads.
• Client: The business or individual purchasing digital leads from the Company.
• Digital Leads: Prospective customer contact information and other details provided by the Company to the Client.

2. Eligibility

Clients must be at least 18 years of age and legally authorized to enter into binding contracts to use our services.

3. Scope of Services

We provide digital leads that match the specifications agreed upon between the Company and the
Client, including industry, geographic location, and other criteria.

4. Lead Delivery and Quality

• 4.1 Delivery: Leads will be delivered electronically via email or another agreed-upon format.
• 4.2 Accuracy: The Company makes reasonable efforts to provide accurate and up-to-date leads but does not guarantee lead conversions or success.

• 4.3 Replacement Policy: Leads that are invalid, outdated, or do not meet the agreed- upon specifications may be eligible for replacement. Requests for replacements must be submitted within 5 business days of lead delivery.

5. Client Obligations

• 5.1 Compliance: The Client agrees to comply with all applicable laws, regulations, and privacy guidelines when using the leads.
• 5.2 Prohibited Use: Leads may not be resold, redistributed, or used for illegal, abusive, or unauthorized purposes.
• 5.3 Data Security: The Client must maintain the confidentiality and security of all leads and is responsible for any misuse.

6. Payment Terms

• 6.1 Fees: Clients agree to pay all fees associated with their purchase as specified in the invoice.
• 6.2 Payment Schedule: Payments are due on or before the dates specified in the payment agreement.
• 6.3 Late Payments: Late payments may incur interest charges of 2% per month or result in the suspension of services.

7. Refund and Cancellation Policy

• 7.1 Refund Eligibility: Refunds are only provided for undelivered or replaced leads as per our replacement policy.
• 7.2 Cancellation: Clients may cancel future lead orders at any time. Previously delivered leads are non-refundable.

8. Limitation of Liability

The Company is not liable for any indirect, incidental, special, or consequential damages, including but not limited to lost revenue or profits, arising from the use of our services.

9. Warranties and Disclaimers

• 9.1 No Guarantee of Success: The Company does not guarantee that the leads will result in sales, revenue, or other desired outcomes.
• 9.2 As-Is Basis: Leads are provided on an “as-is” basis, and the Company disclaims all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

10. Confidentiality

Both parties agree to keep any non-public information shared as part of the lead purchase confidential and only use it for its intended purpose.

11. Intellectual Property

All content, trademarks, and materials related to the Company’s services are protected under intellectual property laws. The Client does not acquire any rights to use the Company’s trademarks or proprietary content without explicit permission.

12. Termination

The Company reserves the right to terminate services immediately if the Client breaches these
Terms or engages in prohibited activities. The Client may terminate their account at any time.

13. Indemnification

The Client agrees to indemnify and hold the Company harmless from any claims, damages, or expenses arising out of their misuse of leads or violation of these Terms.

14. Dispute Resolution

• 14.1 Negotiation: Both parties agree to first attempt to resolve disputes through good- faith negotiations.

• 14.2 Arbitration: If negotiation fails, disputes shall be settled through binding arbitration in accordance with Pennsylvania law.
• 14.3 Governing Law: These Terms are governed by the laws of Pennsylvania.

15. Changes to Terms

The Company reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the revised Terms.
